First off its not a new class. One of my players has asked me if he could be a necromancer and take over the world. I said id think about it what I have come up with so far is he can control undead with a xp score equal to his. He also has Familiar that can be "upgraded" with powers from other undead except i have no idea what the powers would be worth in xp. So anyone wanna help me out?

First of all, welcome to EN World

Second, the Necromancer (from a 4e angle) has been approached by a number of people in a variety of ways. If you dig around here a bit you might find some of their work and build on it, or at least get some ideas (sorry, I have none as class building is not my thing).

I know there was at least a few posts on the topic over at RPG.net as well - but have a look around here first since you are here already
