Okay, here's a first stab at an Outsider version of the Goat Demon, the "Greater Goat Demon". Note that this one is able to spawn regular goat demons, explaining how these fiends spread across the land.

Greater goat demons are true demons, not extraplanar undead like regular goat demons. They often command herds of goat demons they have created by gnawing away the life-energy of their victims. These creatures were once ordinary goat demons who were promoted to Outsiders by some Abyssal power, such as Orcus, for achieving noteworthy deeds of evil and chaos.

A typical greater goat demon is 6 feet tall and weighs 200 pounds.

Greater goat demons speak Abyssal and Common.

Combat
A greater goat demon usually assumes some innocent looking guise - such as an old woman, a stray goat or a large dog - and tries to work its way close to a lone victim, then launch a surprise attack with its paralysing horns. If it succeeds it uses Gnaw Away Essence on its helpless victim. A group of greater goat demons uses similar ambush tactics, often masquerading as a band of travellers, or goatherds and their flock (the goats really being regular goat demons).

Greater goat demons are somewhat braver creatures than the ordinary variety - they often only run away once all their minions have been slaughtered.

Alternate Form (Su): A greater goat demon's natural form is that of a hideous decomposing goat, but it prefers to attack in its alternate form, a creature with the body of a hairy ghoul and the head of a goat (stats as above). A greater goat demon can switch from one form to the other with a swift action.

When in its true goat form the greater goat demon's Speed increases to 40 ft., but it loses the ability to wield weapons (or any other activity requiring hands).

If slain, a greater goat demon reverts to its goat form and then dissolves into a pile of bones and putrescence.

Create Spawn (Ex): Any humanoid slain by a greater goat demon's Gnaw Away Essence attack rises as a goat demon at the next midnight. The goat demon is of the regular, brutish variety. The new goat demon retains none of the abilities or memories it had in life, it hungers for the flesh of the living and behaves like a normal goat demon in all respects. Greater goat demons have no special control over the goat demons it spawns, so must use threats and force to command their obedience.

Note that the humanoid's corpse must remain relatively intact to rise as a goat demon. Greater goat demons often completely devour their victims, either out of greed or to prevent the creation of a potential rival.

Gnaw Away Essence (Ex): A greater goat demon can chew away the soul or essence of an object, as well as its material substance. As a standard action, the goat demon can automatically do 2d6+3 damage and bestow one negative level to any immobile target, including victims of its Paralysis attack and opponents the goat demon has grappled and pinned. Gnaw Away Essence ignores all Hardness and Damage Reduction with a value less than 20.

Grave Touched (Ex): A greater goat demon is treated as an Undead by all spells and powers that especially affect Undead, including cure spells, negative energy, and a cleric's ability to turn or rebuke undead, although the greater goat demon is partially protected from the latter by a +4 turn resistance.

Illusory Disguise (Su): The greater goat demon can take the appearance of any Small or Medium-sized creature or object that is shaped like a humanoid or a four-legged animal. The goat demon can take on the form of inanimate objects of the same shape (i.e. statues) as well living, dead or undead creatures. This is an illusion (glamour) effect that includes visual, olfactory (smell), auditory (sound) and tactile (touch) components. A greater goat demon using this power to create a disguise gets a +10 bonus on its Disguise check. A creature that interacts with the Illusory Disguise gets a DC16 Will save to recognize it as an illusion. The save DC is Charisma-based and includes a +2 racial bonus.

Paralysis (Ex): Those hit by a goat demon's horns attack must succeed on a DC 14 Fortitude save or be paralysed for 1d4+1 rounds. The save DC is Charisma-based.

Pseudo-Undead Immunities (Ex): A greater goat demon has many of the immunities of the Undead type. It is immune to poison, paralysis, stunning, disease, death effects, critical hits, nonlethal damage, ability drain and ability drain and energy drain. It has a constitution score and is affected by mind-affecting effects, sleep effects, fatigue and exhaustion like any living creature.

Greater Goat Demons with Character Class Levels
A greater goat demon's favoured class is cleric. A greater goat demon cleric has the Chaos, Death and Trickery domains, with the granted powers of all three of these Domains. Most goat demons worship Orcus, who many presume to be the creator of these creatures.

Greater goat demons which do not focus in cleric often gain levels in sorcerer or warlock.

For the regular one, sticking with the dretch values makes sense to me.

Upon reflection, I think I overdid the Gnawing's ability to penetrate DR. There are very few creatures in 3.5 with a DR of 20, and I don't really want it to be quite that penetrating.

I'm thinking about cutting it down to 10 for the regular goat demon (so it can chew through hardness 8 stone tombs but not iron doors), and 15 for the greater goat demon.

Do you think that would be better?

Men-shen are greater spirits who serve as guardians. They protect a place or person against intruders, evil spirits, or similar threats. The men-shen appears as an oversized human with a grim countenance and golden skin. His eyes may be black, blue, or red. He may be bald or have long, flowing hair, which spills over his shoulders. Some men-shen wear a single topknot, which is braided with flowers and hangs to the middle of their backs. Men-shen don the regalia of an army general. Their clothing is pressed and spotless, their medals and buttons polished and sparkling. Each men-shen carries a large red sword.

Men-shen speak the languages of all inhabitants of Kara-Tur, as well as the language of the Celestial Court.

Combat: If a men-shen has been assigned to protect a place or person, or if he has agreed to perform any other service, he will faithfully discharge his duties to the death.

The men-shen is exceptionally difficult for opponents to strike. He commands continual ESP with a 30-foot radius, and no opponent within 30 feet can surprise him. He can fly, and also can become invisible at will. Furthermore, he can attack while invisible, as per improved invisibility. Finally, a men-shen can become astral at will and polymorph self twice per day. When polymorphed, the men-shen usually takes the form of an oni (or a similarly fearsome creature) in order to frighten away skittish opponents.

The fierce countenance of the men-shen acts as an apparition spell on his victims (+1 bonus to men-shen’s surprise; creatures of 1 HD or less must save vs. spell or flee for 1-3 rounds).

The men-shen primarily attacks with its sword, which grants him a +4 bonus to attack and damage rolls. No other creature can use a men-shen’s sword. If a men-shen is destroyed, his sword will crumble to dust. In order for a sword to retain its potency, the men-shen must return daily to the Celestial realms. Each day spent away from these realms causes the sword to lose 1 point from its attack bonus; its damage bonus is unaffected.

The men-shen is immune to fear charm, and hold spells of all types. He suffers half damage (or no damage) from spells that cause the loss of hit points.

Habitat/Society: The first two men-shen were originally famous generals of a good emperor. When the emperor fell ill due to the nightly visits of an evil dragon, these generals volunteered to stand watch at his door. For several nights, nothing happened; still, the generals never deserted their posts, remaining alert at all times and shunning sleep. Concerned for the well-being of the generals, the emperor ordered that paintings of the two men be
rendered on the door posts. So effective had been their vigilance that even the paintings kept the dragon at bay.
To this day, mortals paint the images of men-shen on the door posts of their homes, hoping to frighten evil spirits. Any painted image of a men-shen may be occupied by an astral men-shen; the chance is 5%. Homeowners rarely are aware of the existence of these astral spirits.

The Celestial Emperor sometimes assigns tasks to men-shen, but more often these spirits are invoked or summoned by mortals. The men-shen generals consider each request for assistance; if the generals deem such requests to be worthy, a men-shen (or men-shen couple) is dispatched. Such requests usually involve guarding tombs, shrines, or treasure vaults. Requests for menshen to intervene directly in mortal affairs–e.g., an attack upon a human’s enemies–usually are ignored by the generals. When assigned as a guardian, a men-shen’s duties normally extend from dusk to dawn, allowing him to spend the rest of the day in the Celestial Court.

Ecology: Men-shen do not eat or drink. Instead, they are refreshed and energized merely by attending the Celestial Court.

Sound like Outsiders to me. I'd also suggest spirit subtype, and, despite the fact that they're listed as N, they sound lawful enough to warrant the lawful subtype possibly.
