When a rogue gets an attack of opportunity and at the same time he flanks the opponent, does it counts as a sneak attack?

Yes. Sneak attack happens on any attack where the target is not immune and is either flanked or denied his dexterity bonus to AC.
If you're standing between two rogues, Withdraw is the recommended way to run away. The second square you move will still provoke from at least one of them, but you'll no longer be flanked.
