D&D 3.x (3.5) Tower Shield penalty to attack

I just wanted to get some opinions on the attack penalty Tower Shields give.

1). Do you think the -2 penalty should be lowered if the Tower Shield is Masterwork?

2.) What about if it is made of DarkWood?
