Can a player occupy the same space as a helpless creature?

Scenario 1: PC 1 gets knocked out and is dying. PC 2 goes over to PC 1 and stands over PC 1 to make sure he is not killed. PC 2 is now occupying the same space as PC 1.

Scenario 2: PC 1 kills the opponent in front of her. There is another opponent behind the original one. PC 1 steps forward in to the space occupied by the corpse of the original enemy and attacks.

In either scenario, does the PC occupying the space of a helpless creature have to take any negatives to attack, AC, etc?

We play it that bodies don't really take up much space (unless the body is huge or bigger). You might count it as rough terrain, but otherwise, it's pretty much not going to get in the way. Keep in mind, you can actually have two people in the same square even when they're up and kicking, you just need to squeeze (using the squeezing rules). Since there's a huge difference between "someone fighting in the square with you" and "a body on the floor", I don't think there's any reason to apply any penalties. It just adds to the bookkeeping and not to the fun.

Squeezing: In some cases, you may have to squeeze into or through an area that isn’t as wide as the space you take up. You can squeeze through or into a space that is at least half as wide as your normal space. Each move into or through a narrow space counts as if it were 2 squares, and while squeezed in a narrow space you take a –4 penalty on attack rolls and a –4 penalty to AC.

When a Large creature (which normally takes up four squares) squeezes into a space that’s one square wide, the creature’s miniature figure occupies two squares, centered on the line between the two squares. For a bigger creature, center the creature likewise in the area it squeezes into.

A creature can squeeze past an opponent while moving but it can’t end its movement in an occupied square.

To squeeze through or into a space less than half your space’s width, you must use the Escape Artist skill. You can’t attack while using Escape Artist to squeeze through or into a narrow space, you take a –4 penalty to AC, and you lose any Dexterity bonus to AC.
