I've heard quite a few things about how this PrC has the potential to be extremely powerful.. I'm looking it over and I just dont see whats so great about it.. can anyone enlighten me?

Ok, Instant metamagic isnt too powerful after erratta, but if you use stacking metamagic then the "Improved Metamagic" ability is pretty gross (the same ability is an epic feat under the ELH), also it just gets a lot of other stuff that doesnt really apply to the class but serves to further buff it up (immunity to energy drain?).

Basically wizards give up very little to become incantrices, and even the feats they have to blow they get back in the form of bonus metamagic feats. Its win-win-win for wizards.

An often hot topic of debate, is the idea of stacking a single meta magic feat more than once with itself.

As an example, double empowering, for a total of double the variable numeric effects. For instance a double empowered Bull's Strength grants a ([1d4+]*2) bonus to Str and uses a 6th level spell slot. Or you could triple empower it (to 8th for ([1d4+1]*2.5) ).

While the PH specifically states you can stack different meta-magic effects this is never explosively stated as allowed or disallowed. No errata, to my knowledge, has ever been issued over this issue, though I do believe the FAQ may rule in favor of allowing it. Could be wrong about that, and I'm sure someone more familiar with the FAQ will be able to verify or deny it more concretely.

Please keep in mind that the "crunchy bits" this PrC gives out are mainly in the latter parts of the 10 levels. So you are in the high teens before everything comes in to play.

But all in all... it is a very powerful PrC.

Technik4 raises the key issue; the problem with the incantatrix isn't that its gained abilities are too powerful, but rather that wizards pay too little for them. I think Improved Metamagic is just fine as is; the problem is with stackable empowered ability buff spells, not with the IM class ability. PrCs often grant abilities that imitate epic feats; observe the OotBI's close combat shot ability or the forsaker's ability score increases.
