I like the way Empirate and Stormomu were headed with this. Perhaps it would work something along the lines of a coup de grace which in turn gives the benefits described. Imagine the Warlock reaches a hand toward the target and spends the round ripping the remaining life force from his target and gaining the benefits at the end of the round. As a spell like ability it can be interrupted as a coup can, but he gets his concentration check, (and if there are no enemies left standing...). Not necessarily as situational as one may think, someone seems to die in most encounters and if there are mass opponents, well, that is just many candidates. It would definitely be a candidate to add to some evil NPCs, and I can see many a former player of mine making great use of this when they had...questionable morals. Also, as a lesser version, one that sucks some of the energy but leaves the target just weakened, but still alive (Unless it is really far gone). It would be a standard action that pulls a single HP per two lvls (of the Warlock) of energy from the target causing unconsciousness in the target (unless a save is reached if above 0 HP). Keep the range to close (5ft) or touch for those that like to augment their touches to close and definitely add to the Dark list. In both cases, you are looking at helpless targets for the most part, so targetting would be almost a nonissue. I like this, but I am en evil DM, so I am a bit biased...
