Ninja/Warlock help!

I dont know what Sneak Attack or Uncanny Dodge abilities are, or what the BAB, Fort, Ref or will stats are for the Complete Arcane Warlock class :( Please help...

Well... Ninjas don't get either of those abilities, and since typing up info on those non-OGL classes here is... er... illegal, you might consider picking up the two Complete books in question, or look at a copy owned by a friend.

Open Gaming Licence. See, most of the Core Stuff (the rules from Player's Handbook, Dungeon Master's Guide and Monster Manual) and stuff from several other books (Psionics, Epic levels, Deities) are available for free on the net. You can get this stuff perfectly legally and do with it (almost) whatever you want. You can use them to play, you can put them on your webpabe (there are a lot of different System Reference Documents out there, for example www.d20srd.org), you can write your own book based on this stuff and sell it (without owing Wizards even a cent), you could even put it all into a book and sell that, IIRC.

But the Complete Series is not part of the deal. So we cannot write it down here verbatim.

I can only give you some general info about the stuff. If you want playable information, you have to get the book (or know someone who has of course)

I can tell you that the ninja doesn't have uncanny dodge, and doesn't have sneak attack (he has something similar, but not as versatile).

The Warlock is like a Wilder in regards to the general bonuses.

Neither the Ninja nor the Warlock are Open Game Content, but the two abilities that you mentioned, Sneak Attack and Uncanny Dodge, are definitely Open Game Content (because they're part of the core Rogue class for D&D), so I will elaborate on them.

The rogue's Sneak Attack ability is the ability to inflict extra damage on an opponent if you can catch him flatfooted or in some other situation where he's denied his Dexterity bonus to AC, such as when you're flanking him, successful on a feint for your previous action, or if he's hung up grappling someone or trying to climb something. There may be other situations where you can gain this bonus, but these are the ones that jump to my mind.

The Uncanny Dodge ability, which the rogue gets at mid-level, allows you to keep your Dexterity bonus to AC when you're flatfooted or otherwise not immobilized in some way, protecting you from most situations where you are in danger of being sneak-attacked by another rogue. You can still be flanked (and thus sneak-attacked) unless you have Improved Uncanny Dodge (which you get later on), and even with that feature, you can still get flanked if your opponent has at least four more levels in rogue than you do.
 

Copying stuff from book isn't illegal as long as it's within fair use limits. Saying that a warlock as a half BAB progression isn't a problem.

Nope, especially since it's wrong. ;)

They have 3/4 BAB progression (and bad Fort, bad Ref, good Will saves, which isn't hard to guess).

But without Complete Arcane you won't be able to really use the class, anyways, since it gets lots of special abilities and the invocations are in there, too.
