    That's the important part right there. Most of the monsters that have swallow whole and improved grab don't really care if they're grappled. Since they can go ahead and grab and swallow the character on a full attack, it doesn't really matter if they lose their (miniscule) bonus to dexterity...

    Lethal?.... When did they change that? As far as I know IUS doesn't allow for a character to deal lethal damage normally with unarmed strikes, it just takes away the AoO for unarmed attacks. Yep, that's right. One more reason why IUS really stinks.

    How about if, instead of only using 1 opposed roll, you just halved the number of rolls by assuming the defender takes 10. That way grappling wouldn't really take any more time than the other attack actions.
