I have some more questions about the Ghaele, since I may be (with DM aproval) be playing one in a couple weeks. I don't have my book on me, so my ?'s are based upon my memory of readings through S.S.
Spell like abilities are based on HD to a Max of 12. The Ghaele class only goes up to 10 HD...
Sorry, but I don't see how this is possible. As the spells says, it effects objects made of matter. Since undead are basically objects already, an inconporeal undead is not made of matter (It has no physical body, and is not made of matter).

I disagree, Incorporeal creatures have no physical bodies. Its not physical, its not matter.
Incorpoeral creatures are effected by "other incorporeal creatures, +1 or better magical weapons, spells, spell-like effects, or supernatural effects."
All creatures gain a feat with their first HD, and then every 3 HD's after that. Your max Skills are your HD + 3
So if you're a winged human at 1st level (ECL 3), You'd get your human feat* and your 1st level feat, and your max skill ranks would be 4.
*I'm pretty sure you still get your Human...

Basically I made it just like a regular Elf (Which has no HD), but gave it some of the Drow abilities. I should have moved SR into the class abilities. So good move their, but other wise...

Starting Abilities
+2 DEX -2 CON
Darkvision: 60 feet
Proficinces: Like a Drow
Light Blindness
SR: 11 + HD (instead of "class" level)
+2 bonus to will saves agaisnt spells and spell like effects
Automatic Languages: Elven, Undercommon, region
Bonus: same blah blah blah
Favor Class: Wizard...
Just to throw it out, the spell says:
"Up to a 10-foot cube of nonliving matter is affected"
Incorporeal creatures aren't made up of "matter" and are not living...
I'd think they'd be immune to such an affect

Consider it stolen, if my DM shoots down my new Idea, I may use this idea. I love it a lot. I wish my players (and when I PC, fellow players) had as interesting backgrounds as this. We had someone, but he just disapeared 1 month ago.
