Apart from the nation who lost its resources (planet, food, whatever,...) need those to survive and attack a nation who has this resources but not enough for both nations. What could be the reasons for war? (from History or Sci-Fi novel) It occured to me that I wasn't very imaginative on this...

I think that you'll should go with the D&D, Dragonstar, Rokugan rules, and that the Second World Sourcebook would adress all of the issue you might have by transplanting character from fantasy to modern setting (I do not have it, but it seems to be what you need from the review by Psion).

Except that it is clearly mentioned, that any content derived from OA isn't open, so that remove the samurai and the shugenja, the taint mechanic, etc...

You might want to check Four Color to Fantasy, you have a chart that give the equivalent between gp and power point, and hero are worth 8HrPs per level, so you just have to calculate how much wealth the character has above or under his recommanded value, check the chart to find the HrP value...

Then why has this worked with 3.0 and would not work with 3.5?

You still need a wealth system, and you still have problems with one-use-only items. Two important element of a FF game IMO.

I have both, but I've only used FCTF. M&M is a new game, you'll need to convert creatures and any material you might want to use, and the rules are focused on the modern superhero genre. Its vehicke rules are light and equipment is dealt with through power point, so it will probably fit...

From what I've read Spycraft cover the A-team and MacGiver, jusk ask Morrus he GM an A-team game using the spycraft rules.
