Have you looked at Buy the Numbers? This is a level-less system that people use XP to buy feats,skill ranks, class abilities, etc.

For your own personal use, yes, absolutely. That depends on what your sharing. If the sourcebook in question is based upon the OGL, and you are following the OGL in distributing the work to each other, than there is no problem.
