from the SRD Helpless: A helpless character is paralyzed, held, bound, sleeping, unconscious, or otherwise completely at an opponent's mercy. A helpless target is treated as having a Dexterity of 0 (-5 modifier). Melee attacks against a helpless target get a +4 bonus (equivalent to attacking a prone target). Ranged attacks gets no special bonus against helpless targets. Rogues can sneak attack helpless targets.
so basically you have -5 off victim's AC due to their AC being 0. plus you get +4 to hit. they lose their previous dex bonus. and they lose shield bonus.
example... sleeping human in +2 mithril breastplate dex 14(+2) +2 hvy shield = AC 23 is now +2 mithril breastplate dex 0(-5) = AC 12
As a full-round action, an enemy can use a melee weapon to deliver a coup de grace to a helpless foe. An enemy can also use a bow or crossbow, provided he is adjacent to the target. The attacker automatically hits and scores a critical hit. (A rogue also gets her sneak attack damage bonus against a helpless foe when delivering a coup de grace.) If the defender survives, he must make a Fortitude save (DC 10 + damage dealt) or die.
Delivering a coup de grace provokes attacks of opportunity.
Creatures that are immune to critical hits do not take critical damage, nor do they need to make Fortitude saves to avoid being killed by a coup de grace.
fort save for the above sleeping human is +10. and hps of 71
the one delivering the blow after drinking a potion of haste and getting the +4 is a 12str halfling twf ranger 6/ rogue 4 with a +1 small longsword(+16/+16/+11) and mw small dagger (+20/+15)
so the question is do you take 5 attacks on the sleeping human with a possible damage of 10d6 for sneak attack +3 str +3 magic + 3d6 for longsword + 2d3 for dagger + possible crit damage...
13d6 = 45.5 avg
2d3 = 4 avg
+6 = 55.5 avg before calculating misses (due to a 1) and crits (on a 19 or 20)
edit: and then have to roll off for init if you didn't kill him.
or do you coup de grace... auto crit.. 2d6 + 2 str +2 magic +2d6 sneak attack
4d6 = 14 avg + 4 = 18 + 10 = DC 28
