Like sneak attack, but only works when the target is denied Dex bonus to AC (ie, doesn't work when flanking).

I suppose you can still use it against climbing or balancing targets, but still....

It stops the 'no brainer' Ghost Step/Sudden Strike. There are other ways to get people to lose their Dex bonus.

Well, it's only a no-brainer in the sense that rogues trying to get flanking is a no-brainer. The limit on uses/day is also significant, at least for PC ninjae. (Those drow you fought had 4 uses per day, BTW.)
 

Just looking at the stats again... hmm. CAdv says ninjae get their funky powers only if wearing no armour. But the MM4 Lolth's Sting (drow ninja) is wearing leather. Huh?

And how many (uses per day)
had been used up on previous encounters?

The "problem", I guess, is that the Ninja's version is killed ENTIRELY, while the Rogue just has to flank (although Improved Uncanny Dodge is a load of garbage IMO since it makes the Rogue useless) to get Sneak attack.
