Depends if you consider the animal companion as "owned" by the Druid. Is an ally, cohort or hiring "owned" by the people they are working for/with?

Actually, that's not quite true. It says that those who succeed on either of the Fort saves are "are nonetheless disabled by choking (treat as stunned) for 5d4 rounds." I think it hardly requires a huge stretch for a DM to rule that in order to choke, a creature must be breathing.

By RAI, sure. Not by RAW. If the rules don't mention breathing, then there's no breathing requirement.

Normally I'd agree with you, but this is one item that needs as much nerfing as it can get, and the primary way I can think of to nerf it is to prevent players from making their own characters immune to it in any way. Sure, you can also argue the other way 'round and balance it by making enemies immune to it, but either you have to grossly overuse undead or constructs or you have to make items that grant unbreathing status standard equipment for BBEGs, which is a solution I find annoying.

Really, I wish Wizards would just errata a Reflex save into this item or something. If you can duck out of the way of a fireball you can hold your breath when you see the choking powder come out. (Neverwinter Nights had an item like this that was *meant* for grenadelike usage and *explicitly* allowed a save.)

True Strike is a spell with Range: Personal. Personal spells can't be placed into a potion. DMG, pg. 286.
