Well, it's a base class, not a prestige class, but the gleaner from Occult Lore would probably fit the bill. If you're familiar with B5, it's basically a soul hunter. If you're not: the gleaner "cultivates" the little shard of spirit left when someone dies, growing it into a greater and greater shadow of its original self. She carries soulstones that contain these spirits, and the more aware ones each have their own reliquary (sp?). Basically, a cross between ancestor worship and totem fetishes, i suppose you could say.
 

The True Necromancer out of the Tome and Blood supplement has the alignment requirement listed as any non good. It requires both arcane and divine spells of at least third level which from what i can tell amounts to 5 levels of Cleric and Wizard (or 6-7 of sorcerer). You do have to chose at each level which class you want to have advance in the "+1 level of existing spellcaster" but at least you get that choice. Also no matter what level spell class you chose to advance you still increase your Rebuke undead normally. This is to say that these TN levels stack with levels of cleric. Basically you find a non evil god of death and get the death domain with your cleric domains.
