Spellthief conversion help

I'm trying to brainstorm on how to recreate the spellthief in Complete Adventurers book in 3.5. Will it be a subclass of rogue or sorcerer? Basically, for those who's not familiar with it, they absorb spells, resistances, and spell-like abilities from their enemies and make it as their own for an encounter.

here are their signature class features:

sneak attack, but only 1d6 version
steal spell
steal spell effect
steal spell-like ability
steal energy resistance
steal spell resistance
absorb spell - nullifies a spell and makes it as his own until used
spell grace - gives a +1 to defense against spells
discover spells - automatically knows the enemies' spells after being used by steal spell

then he has spells per day up to level 4

lastly, I would be using essentials writing style in this.
