The ultimate characters, are they vastly different from the older series? I did collect back in the day but haven't really seen anything with the Ultimate stuff, is this going to be a problem?

No.
It shouldn't be much of a problem if you haven't read much of the Ultimate series... the characters are basically the same with minor unpdates to bring them into the 21st century. But Spidey is still Spidey, Cap is still Cap, Woverine is still Wolvie. basically...

If you haven't read the any of the Ultimates I highly recomend them. My favs are Ultimate Spidey and the Ultimates.
