D&D 3E/3.5 3.5 Deadeye Shot feat

I was just wondering if anybody would be able to give me a definitive answer on this, but the Deadeye Shot feat (PHBII, pg 78), does it count as catching the target flat-footed? And as such does Improved / uncanny dodge counteract the loss of dexterity bonus to the AC?

As written, Uncanny Dodge does not help. "Flatfooted" is a very specific condition that includes loss of dex to AC, as well as other effects like inability to make attacks of opportunity.

There are lots of ways in the game to lose your dex to AC but not be flatfooted (Running, Climbing, being feinted, grappling someone...). If something merely says the target loses dex to AC, uncanny dodge is of no help, only if it makes them flatfooted.
