Celestial Vermin and Feats

1. When you apply the Celestial Template to a creature its intelligence becomes 3.

2. Vermin have a "-" intelligence and have the mindless SQ that makes them immune to basically spells with will saves. They also do not accquire feats based on hit dice.

Now, if you make a celestial vermin is it fair to remove the mindless SQ(because they aren't now) and replace it with feats that the vermin didn't get (but now should)?

This won't seriously effect their "power level" will it?

AFAIK nothing official on this topic, but I'd say "yes" to all your assumptions.

I'd say 'yes' too. I don't know if the is any written rule anywhere that specifically states this (if there is, it's probably in SS, which I don't have), but there is a precedent: The Improved Familiar feat in FRcs includes a hairy spider, which becomes a magical beast and therefore gains an intelligence score and looses its immunity to illusions etc.

EDIT: Of course that was 3.0. I don't know if there is anything similar in 3.5 material.
