After looking back, I noticed that I left out some critical (haha) information. The instant kill ability only function on a crit while sneak attacking. Yes, it is still quite a powerful ability, but I think it is balanced out somewhat with the restrictions to weapons and especially armour.

Isn't that what extra damage from sneak attack is for? There are no effects in 3e that give a set percent chance of death. At the very least, I'd allow for a Fortitude save with a DC of 10 + PrC class level + Int or Dex as the assassin does.

If this were me, I'd change the ability to increasing the Sneak Attack damage dice up one size to 1d8 on a successful critical hit. It increases the lethality of a Sneak Attack critical without being too powerful.

Hmmm.... I like the Fort save bit..... consider it changed.
As for increasing the die on SA, the concept I had was that the class is able to go for the "sweet spot". get the kill as bloodlessly as possible.
I do realize that the SA is an abstract way of detailing the concept of the "sweet spot", but I like the idea of of being able to kill with a bit of style...
