Looking for a system fo W40K

I did the same a few years back. We used the Warhammer Fantasy Roleplay (WFRP) rules for it. It has rules for crossing the W40K/WFB stats over to WFRP.

If you ever decide to use the Warhammer FRP system (not a bad choice) and get your hands on the mind blasting original Realms of Chaos books (Slaves to Darkness and the Lost and the Damned), there are rules for 40K weapons in those books. Not everything, but an idea. There are also old White Dwarf magazines (I have them and can get you issue numbers) that have the pre-Necromunda game Confrontation (the GW game, not the fantasy game by Target), which is a kind of 40K rpg, the White Dwarfs had weapon and combat rules. Then the game became Necromunda.

Well, I would suggest you use the Feng Shui system, if you want a game of fast paced cinematic action. It can handle gun-fu, kung-fu, magic, and unusual creatures like no other game.

If you can get over your aversion to using anything d20, I would also suggest Mutants and Masterminds. While it is nominally a d20 system, it dispenses with classes, has a whole new take on levels, and really streamlines combat (no hit points!). If you can't model a power, gadget, or oddball race with MnM, you aren't really trying. It would give your players something of a break with the d20 system, but cut their learning time by quite a bit.
