Any time the attacker is flanking, or the minotaur is denied his Dex bonus to AC.

For example:
  • an invisible attacker;
  • a blinking attacker;
  • failing his opposed check against a Feint;
  • when he's Stunned, Blind, Cowering, or Helpless;
  • when he's grappled, climbing, or running;
  • ... etc.

The minotaur is interesting in that he does not lose his Dex bonus to AC while balancing, despite not having any ranks in Balance.

It's all the delicate foot work they do. ;) :p :)

Anyway like Hyper said, those are the only ways it can be sneak attacked.

Still means they are lighter than people expect.

For some reason, when reading your last line, I picture groups of Minotaur Rogues and Ninjas. It's seriously an odd picture. ;)
 

And yet still dangerous. :) Just because they aren't "agile" doesn't mean they can't be rogues OR ninjas.

Ninja Minataurs are WAY cooler than mutant turtles. :p :)
 

cant you flank them just like normal? you'd get a sneak attack then. mmm you can also catch them sleeping, flat footed or not you get to roll sneak damage.

Doesn't it just mean that at the beginning of a combat, they get their full AC even before their initiative comes up (and can't be hit by ranged sneak attacks)?

Are their other conditions that cause you to be flat-footed?

I ask because I'm thinking about making a Minotaur Knight for an upcoming game...

Right. Unless they're denied Dex to AC for some other reason.

As noted, Balancing; also there are some feats, like Low Blow, that can cause an opponent to be considered flat-footed. A minotaur would be immune to such feats.
