New PrC: Shadow Stalker

Ok, I've been trying to post this for about 5 days now and hopefully this will work. I want any thoughts or feed back. Is is balance, is it crap, whatever.

Note: Just a side note, the req race is a homebrew feline race I've posted before, they get +2 dex/cha and -2 wis/con. I'll be happy to post if you want

The Shadow Stalker .
The first of the Shadow PrClasses, the shadow stalker is the main defense for Tigrana from the evil forces that would penetrate their forest. These great beasts stop all unwanted travelers or evil forces from entering the forest. They stalk the trees above waiting for an unsuspecting victim to pass underneath before pouncing for the attack.
Most Stalkers are former Rouges, as well as some Barbarians and Monks. Many fighters and rangers become stalkers as well but they are less common amongst their ranks. Spellcasters rarely become stalkers, opting for the Jungle Heart Initiate PrClass instead (See below).
NPC stalkers fill the niche of both palace guard and advanced scout for the Tigran society. They are often found in groups of two or three, some times accompanied by a Jungle Heart Initiate.

Feats: Alertness, Improved Init, and Improved trip or Improved Disarm
Skills: Hide, Tumble, Climb, Spot, Balance and Move Silently 6 ranks each
Special: Must take part in secret initiation ritual with Tigran elders,
Alignment: any non-evil.

Class Features:
Weapon/Armor Proficiency: a Stalker gains no new proficiencies in weapons, armor or shields.
Sneak Attack: At 1st level the stalker gains +1d6 sneak attack bonus as a rouge, she gains an additional +1d6 at 6th level. This ability stacks with that of the rogue of the same name.
Jungle Step: At level 1 the Stalker leaves no trail in a wilderness setting and cannot be tracked, she also gains a +4 bonus to move silently and hide checks
Ability increase: At 2nd level the Stalker gains a + 2 ability increase to Dex. At 4th and 9th levels she gains a +2 to Str. At 7th level she gains +2 to Con.
Natural Armor: At 2nd level the Stalker gains a +1 natural armor bonus to AC. This ability increases to +2 at 5th level and again to +3 at 8th level
Speed of Silence: At 5th level the Stalkers base speed increases by 10.
Claw & Bite: At this level the shadow stalker gains a claw and bite attack at her normal attack bonus. The claw attack does 1d8 and bite 2d6 +1/2 Str bonus.
Improved grab: Upon reaching 4th level, whenever the Stalker makes a successful claw or bite attack she can use this ability and can rake.
Rake: At 4th level if the stalker gets a hold she can make 2 rake attacks at 1d8 +1/2 Str damage.
Cat’s Grace: At level 5 the Shadow Stalker gains the ability to slow herself while falling to reduce damage from the fall. Treat a fall as 10 feet shorter when figuring damage. At level 9 this is increased to 20 feet.
Damage Reduction: At 6th level the Stalker gains damage reduction of 10/jade in hybrid form.
Scent: At 7th level the Stalker gains this ability for free.
Pounce: At 8th level if the Stalker leaps upon a foe during the first round of combat, she may make a rake attack even if she has already taken a move action.
Aspect of Tiger: Upon reaching 10th level the shadow stalker becomes the most powerful guardian of the jungle. In gaining the Aspect of Tiger ability the Shadow Stalker becomes a natural lycanthrope were tiger; however, she has no humanoid form, the hybrid form is her natural form and she only returns to her original form after death. She gains an additional +2 to Dex, +8 to Str, and +4 to Con. She also gains an additional +3 to natural armor, her damage reduction raises to 15/jade, and +2 to Fort and Will saves. A bit much...

I see a lot of good ideas, but the effect is IMO grossly over powered. Technical note: the BAB progression is off slightly. You've got a combination of excelent HD, damn good skill points, huge skill list, two good saves, and multiple abilites EVERY level(some with multiple major bonuess linked together under a single name).

Where to begin? Thin the class skill list down to what they really need. Chop the Will saves. Either the hp or skills probably needs to come down a notch. Thin out the class abilities a bit, focusing on the ones with the strongest flavor rather than the strognest benefits. Look at where you can reduce numerical bonuses.

I can see the -idea- working in games that I've run, but in its current incarnation I'd never allow this for PCs.
