As a DM, I'd want the PC to have the invisibility spell. If the character does not "reappear" if they attack or cast a spell, I'd require improved invisibility.

For making magic items, I require PCs to spend as much as it would cost to buy them, generally. For potions and scrolls, I use the minimum cost for the range of the magic items (with some tweaking). Here, I'd call it either uncommon (if the invisibility fades when attacking/casting - ~100 gp) or rare (if it stays - 500 gp).

Note that the only game effects I see are disguising the identity and equipment of the user. If there were more (others have disadvantage on attacks versus them, etc...) I would reconsider.
 



The spells needed mostly.

You'll have to check with your DM. If you are the DM, you'll have to decide based on how it works- invisibility? Disguise self? Something more "change type into undead" type of thing?

Could this potion be the bases for a prestige class,like tindertwigs for the candle caster?

5e doesn't have prestige classes.

Even if it did, in my judgment, making any class, including prestige classes, subclasses, paragon paths, or epic destinies, dependent on a piece of gear is a mistake. What happens when the pc is deprived of that gear? If she has spent the last five levels focused on the class, is losing that gear crippling? How does that make the game more fun?
