Problem: Is Ghostform over-powered?

Your PC should not be immune to breath weapons due to Ghost form (unless it is a houserule?)

"Pg: 90 T&B - Ghost form

You can be harmed only by other in corporeal creatures, +1 or better magical weapons, & spells, spell like abilities, or supernatural abilities.

Breath weapons are supernatural abilities except where noted.

and 50% immunity to all spells from a material source) will be waiting a long time to get it back. ;)

Also you are not 50% immune to all spells. You have a 50% chance to ignore any damage from a corporeal source (exception being force effects). Psionic attacks, mind affecting spells & spells that don't damage but kill or have other non-damaging effects (ie; slow or a failed save on disintegrate) still work on you.

You are immune to all non-magical attack forms. Even when hit by spells or magic weapons, you have a 50% chance to ignore any damage from a corporeal source (except for force effects, such as magic missile, or attacks made with ghost touch weapons)"

Ah, you're right. Well done. 50% immunity to breath weapons (unless otherwise noted) since it's likely damage from a corpreal source.

We found Ghostform to be incredibly powerful. We never specifially ruled it overpowering, but it skirts the line remarkably close any which way you look at it.

Use with care, and don't be afraid to use it against the PCs too. It's one of the first spells that really forces occasional dispel checks against parties by DMs.

Well I've used the spell myself with my Air Savant character. Its powerful and useful but not overly so. combat wise it depends a lot on what your facing. Against brute types it makes you unassaible...against other spellcasters it can be useful...but other spellcasters generaly have Magic Missiles and lots of em...which affect you normaly.
There was one particularly special incident that involved the spell...we were after a mage...one of a set of brothers the other of which I had already killed...he had stolen one of the kingdoms orbs...artifacts with the power to control the elements. he was using it on us...I was in Ghostform to get through the traps around where he was holed up...and he ghostformed himself also. Finaly, after we duked it out for a while and the elven cleric managed to decapitate himself with his vorpal sword(which I thought was rather stupid...the DM was a little to liberal with "critical fumbles"), I basicaly lunged at the mage and we had an incorporeal grapple :-) I got the orb of course :::-)
