To get back to the original question before the Kidney of Spell Storing (do I smell a new magic item?) showed its ugly head, you can't do sneak attack damage with a simple touch attack. Otherwise high level rogues would just need to touch you and suddenly you explode into a lump of jello.

Of course, that doesn't prevent chill touch or ray of frost which are both touch attacks, but those are spells and treated differently.

Well, actually...
The Ability to work Magic comes from the pineal gland. (That is, according to some real world theories on psionics and supernatural abilities)
Going from Oriental medicine it could be possible to divert the flow of (magical) energy by just hitting one of the energy points they use in acupuncture.

IMC I will allow an (non-touch) sneak attack where you just give up all damage to also work for stealing a spell. The biggest problem is to make it so the robbed spellcaster doesn't notice.

Oh, and about undead being immune to sneak attack - tough luck there, they just don't have "energy points" like living creatures. ;)
