Stunned and Grappling

A stunned creature drops everything held, can’t take actions, takes a –2 penalty to AC, and loses his Dexterity bonus to AC (if any).

Now if he is so stunned as to drop his weapon, how could he possible resist grappling?

A grapple check is like a melee attack roll. ...
This sound very much like an action (melee attack).


Technically, making the oppose check to resist the grapple might not be an action (as in Standard Action, etc.), but that's getting awfully technical and I think it is a "special attack action." In any case, I'd say you fail the checks automatically.

A stunnned character is not a helpless character. They may resist attempts upon their persons (such as a grapple or an attack, the fact that they can't be coup de graced means they continue to resist attempts to attack them) just as they can make saving throws.

A stunned character makes opposed grapple checks as normal though they may not take any actions of their own.

either i would also apply the 2 piont penalty to the defender's roll. or only allow the STR bonus and not any bab for the defender.
 

You might also allow grapple checks to escape being grappled by a stunned opponent to automatically succeed. That's as far as anyone ought to go though. Being stunned is bad enough without automatically being pinned by any character with BAB 6+
