I would agree with this it just looks intimidating, but once you start using it, it's surprising how little of it you actually need in play, that whole 80/20 rule you know :)

I'm looking forward to henchmen's edition of the rules. The books is supposed to be compatable yet with out a lot of the bloat from 2.0

Errr, which one is the nutty partner - the one who believes in all that garbage, or the one in complete denial about the existence of the supernatural in spite of concrete evidence to the contrary?

Dark•Matter was mentioned above. I heartily recommend it for an X-files feel. That said, the d20 Modern D•M campaign I ran never felt quite gritty enough for my tastes. I'd recommend either using a harsher d20M variant like Grim Tales, or just using the original (out of print) Alternity rules.

Alternity seems to fit your points pretty well. It uses Armor as DR, and it's Stun/Wound/Mortal damage system was the inspiration for Vitality/Wound damage. Rules-wise, it reads a bit lighter that modern but not quite as polished. I've never actually played a game, though, so take my recommendation with a few thousand grains of salt.
 



I recommend Spycraft 2.0 or if you can get a hold of it Stargate by AEG. Granted Stargate is sci fi at its finest but there is no reason why you could not adopt it to a military style game.
