So, by saying that the feat is not applicable when the character has an ACP greater than zero it prevents use while encumbered, and use while using anything better than an MW light shield.

Yeah, you're right. That makes sense. I might set a number for it, because (1) I don't really have a problem with using it with a light shield, and (2) I don't really have a problem with using it while under a medium burden.

Can you think of any way to break it? (You mentioned uber-magicking a large or tower shield, but (visualization of the feat aside) that's not broken ... you can do the same thing while wearing heavy armor.)

I can't, no. Just the visuals of a person with this feat and a tower shield struck me as wrong. This feat and a medium shield or any armor with real substance just hits me as visually wrong too.

Personally, I would do with it what they did with the two-weapon defence feats. However, require that the character use the weapon two handed, and the feat would give +1 shield bonus to ac, and if you spread it out over 3, feats, it would increase the shield bonus to ac by +1. So, once you collect all three feats, you'll have a +3 shield bonus to your ac.
