Was googling for 3.5 psionic combat rules and came upon this two page document describing simple rules for "psychic dueling" in v3.5. I painstakingly converted it to pdf/a for posterity.
Since the rules are so simplistic, modding them should be pretty easy if there's anything you dislike or want to change. Have fun!
EDIT: Personally I would give each psionic class a "psionic combat bonus" a la the BAB and UA's "magic rating" and reduce the non-psionic MAC to anywhere from 0 to 10 to reflect that psionic combat should give you an edge over non-psionic creatures, which IMO should be very poorly-equipped to defend against psionic attack.
