Grim Psion (Prestige class) - need Opinions

Hi,

I need your help, because a PC want to play this prestige class in a future campaign from me. But I'm unsure if I should give my ok to the grim psion. I want to know what you think about it and if it is overpowered. It seams to me like that, because she get a lot of immunities and get not much penalties.

Ok, I need your opinions!!! Thanks in advance. Oh btw, It will be a campaign that is settle in Ravenloft, the PCs play evil characters in a evil organization. Maybe it helps!

You do have to give up many manifester levels to take this class ... I think that counts for something.
