Not unless you're flanking the prone person as well. You don't loose your Dex bonus when flanked. Check out table 8-8 of PHB.

That's why I was asking! I got 8 or more books surrounding me, some supercede the others, god knows where the errata is... ugh.

Doesn't it seem like you wouldn't have dex while prone? I know I can't move well on the ground. I mean, to fall down, don't you have to lose your balance ;)

Gotta follow the books though.
 

There are many people who can fight well from their back. So, no you don't get sneak attack damage on someone on the ground. And just because you're on the ground doesn't mean you've lost your balance.

Try to relax. It is not all that bad. There are not that many supercesions, just a few feats and spells and variants on skills and class abilities.

Not at all. All prone means is that you are on the ground. You can still move, dodge, roll around, etc. That is what the dex bonus simulates. If you are not at all dextrous, then you might have some trouble dodging blows, but this is not because you are prone, but because your dex sucks. :D
