2 weapon fighting, and shield bashing

If a character were to have the improved shield bash feat, and be 2 weapon fighting (e.g waraxe and heavy shield), would he be considered to be weilding 2 weapons?
Example: the tempest Prc has the tempest defense and versatility abilities, allowing the character to apply his specific weapon feats to his offhand weapon (eg, weapon focus waraxe also grants weapon focus heavy shield), and gain an unnamed bonus to his AC while weilding two weapons.
Second, does the oversized 2 weapon fighting feat also apply to this combination, reducing the penalty of a waraxe/heavy shield (considered a one handed weapon in a shield bash) to -2/-2.

This combo seems quite powerful, keeping the AC bonus of a shield with improved shield bash, and being able to fight with 2 weapons with no penalties, plus a nice +3 unnamed bonus to AC on top, as well as granting focus/gtr focus/specialisation/gtr specialisation and imp crit to the shield. Of course, the shield is a suboptimal weapon, (which does however grant +2 ac for base, or +7 if fully magically enhanced) which requires shield spikes to be enchanted seperately.

Anyway, after all this rambling, does anyone see a reason why this combo doesn't work?

Seems about reasonable. The tempest takes a pile of feats to get into. Plus, the tempest can't use most nifty abilities when wearing medium or heavy armor. The sub-optimal weapon of the shield brings some of that back.

When the analysis is all done, you run out of feats quickly pulling this off. Whether this character is any better than others is debatable. I mean, the character has to have spent a feat to get his weapon focus or weapon specialization... more feats that don't come for nothing.

I've had a tricked out shield fighter for a while. And he regularly gets out-shined by many other builds, thought he does get his moments. Shield Charge and Shield Slam are nifty though!
 

I have a fighter set up like that so if you decide to go that route make sure the shield is enchanted with bashing ability which evens it out with putting spikes on it. I use straight sword and board fighting Heavy shield and longsword. Haven't had a chance to lay him. he's a back up character should my wizard die.

Spikes? Pffft. Absorbing shield all the way! ;)
