Dumb question, but why would the Ninja need to be converted from 3.0 to 3.5?
I mean, just use it as it, change the skill list from the 3.0 name to the 3.5 name. Pick Pocket to Sleight of Hand.
The main ability of the Rokugan Ninja is Sneak Attack, and that works the same way as in 3.5 as it did in 3.0.
Uncanny Dodge still works the same.
Then there is "Ninja Dodge", which also is basically unchanged (it's more or less just the Dodge feat).
Spead of Darkness - this just lets the Ninja add his Int bonus to initiative. I don't see why that would change.
Blind Fight - that's in 3.5 as well. Just use that feat.
Poison Use works the same.
Deflect Arrows also works the same.
Actually, as near as I can tell, the Ninja seems completely unaffected by any of the changes from 3.0 to 3.5, other than the names of the skills.
