Saw both, went to see Matrix again, this weekend will probably see Matrix again (3rd time).
X2 was an awesome movie, much better than the first (Mystique was more Mystique, more X-men, good guys forced to work with bad guys, etc). I really liked seeing Wolverine's beserker rage, and the different X-squads doing their thing.
Matrix just took the cake though. No-one can do explosions like the matrix, and the fight scenes are nearly unparalleled. The story took us deeper down the rabbit hole, allowing for tons of rampant speculation.
The biggest difference is that with X-men I feel I know what to expect (having read the comics). The good guys will win, with few casualties and noone really important will be killed off. While the same can be said for Matrix, it just seemed more fresh. Its a new story, and a newer idea (circa 1999) as opposed to the 50 (?) year old Xmen.
