I am not sure about this particular rule. Can anybody cite a book and page number in which this was covered?

#2: The difference between surprise and flat-footed is small but important. In the suprise round, if you failed your Listen or Spot check (and don't have Blindsight or Scent) then you are suprised and lost your Dex bonus to AC. In the first full round of combat, you are flat-footed until your Initiative comes up. So if a rogue surprises you (and sneak attacks you), then your Initiative fails to beat theirs, they can unload a full-round sneak attack on you while you are flat-footed.
