I always saw it as two people clashing their weapons against each other. The weapons have to be in contact at some point for them to attempt to disarm...so I see it the rules as a simplification of that point:
The weapons collide. The first person tries to knock the weapon out of the opponent's hand, but he meets resistance, and after the initial shock of impact, the opponent pushes forward, trying to do the same to his attacker.
Also, by the wording of the counter-disarm attempt, I'd rule that yes, he's allowed to try and counter-disarm.
The whip/natural weapon thing is trickier. But that's a campaign-specific problem, and I'd just find something that works and stick with it. Note that normal unarmed disarm attempts have that huge penalty for a reason: there's no drawback for losing.
