You provoke an AoO from the target you are trying to garrote. If the AoO deals damage, then the garrote fails.
flat-footed targets don't normally get AoO's, right?

No i dont believe a FF'ee is entitled to a AoO. But if the target was not FF'ed, then it would provoke an AoO. This attack doesnt have to be stealthed.

You guys seem to be worried about the attack... the attack can be silent... it is the body falling to the floor or him dragging the body and such that the roll is needed for. If you kill them in one hit with a sneak attack and then you can make a MS roll to see if you can stop any other sounds.
